THIS NOTICE RELATES TO ENZEN GLOBAL LIMITED AND ENZEN LIMITED ONLY, AND THE BELOW IS A NOTICE TO THE CREDITORS OF ENZEN GLOBAL LIMITED AND ENZEN LIMITED ONLY.

FOR THE AVOIDANCE OF DOUBT, THE BELOW DOES NOT RELATE TO OR AFFECT THE CREDITORS OF ENZEN GLOBAL SOLUTIONS PRIVATE LIMITED.

We are pleased to announce that on 4 February 2025, Enzen Global Limited (Company no: 05704180) and Enzen Limited (Company no:09676487) (the “Plan Companies”) issued a practice statement letter (the “Practice Statement Letter”) outlining two inter-conditional restructuring plans under Part 26A of the Companies Act 2006 (the “Restructuring Plans”).

The primary objective of the Restructuring Plans is to reduce the group’s existing indebtedness, by among other things, amending and extending the group’s secured facilities, and compromising certain secured and unsecured creditor rights. This is in order to achieve long-term financial stability, and better position the group to access accelerated growth, innovation, and enhanced industry-leading capabilities. The restructuring will strengthen the Plan Companies’ financial position with additional liquidity, enabling them to continue delivering value to customers and suppliers.

The Restructuring Plans will affect the rights of any person who is or claims to be a creditor of the Plan Companies in respect of a claim that is provable in the Plan Companies’ administration or liquidation other than those creditors whose claims are specifically excluded (the “Plan Creditors”).

A copy of the Practice Statement Letter, which contains important information in relation to the Restructuring Plans, has been sent by the Plan Companies to all known Plan Creditors either by email or post.

Any person who believes that they are, or may be, a Plan Creditor, but who has not yet received a copy of the Practice Statement Letter, should contact the Information Agent, whose contact details are below.

The Plan Companies intend to apply to the High Court of Justice of England and Wales at the Rolls Buildings Courts, 7 Rolls Buildings, Fetter Lane, London, EC4A 1NL, United Kingdom, at a hearing on 26 February 2025, for permission to convene the necessary meetings of Plan Creditors to consider and, if thought appropriate, approve the Restructuring Plans (with or without modification) (the “Convening Hearing”).

Plan Creditors will be notified of the time (and any change of date) on which the Convening Hearing will take place through an announcement on the Plan Portal, identified below.
